Partner Agreement
The full terms for the HoldThat Systems Referral Partner Program. Plain English. Please read before submitting your application.

1. The arrangement
This Agreement is between HoldThat Systems ("HoldThat," "we") and you ("Partner"). By submitting a Partner application and accepting these terms, you agree to refer customers to HoldThat in exchange for the commission described below.
2. Commission
- Rate: 30% of the one-time setup fee on each qualifying sale.
- Scope: Setup fee only. Monthly recurring fees, add-ons billed later, and refunded amounts are excluded.
- Cookie window: 60 days from last click. Last-click attribution wins.
- Self-referrals: You may not refer yourself or any business you own/control.
3. Payment
- Commissions become eligible for payout after the associated customer payment has successfully cleared and the transaction has been confirmed as valid and commission eligible. Commissions are not subject to a blanket 30 day refund hold.
- We pay out monthly for all payout-eligible commissions, via your chosen method (Stripe, PayPal, Wise, check, or other agreed method).
- Transactions that are canceled before completion, reversed, disputed, charged back, fraudulent, refunded when legally required, or otherwise determined to be ineligible do not qualify for commission. If a commission was already paid and the transaction is later reversed or charged back, the corresponding amount may be deducted from a future payout or otherwise reconciled.
- No minimum payout — but we may batch small amounts under $25 until they accumulate.
4. Taxes
- You're an independent contractor responsible for your own taxes.
- US Partners earning $600+/year: you must submit a completed W-9 before we issue payment. We'll send a 1099-NEC each January.
- International Partners: submit a W-8BEN with your local tax id before payment.
- We may withhold payment until tax documentation is on file.
5. How you may promote
You may share your referral link on your website, blog, newsletter, social media, podcasts, videos, and direct conversations. Honest, organic promotion is the spirit.
6. What's prohibited
- No spam. No unsolicited email, SMS, DM blasts, comment spam, or off-topic forum posting.
- No paid search on our brand. No Google/Bing/Meta ads bidding on "HoldThat," "HoldThat Systems," holdthat.systems, or close variants.
- No misleading claims. Don't promise outcomes, pricing, or features we haven't published.
- No impersonation. Don't pose as HoldThat staff or imply official endorsement beyond your status as a partner.
- No cookie stuffing, iframe tricks, forced clicks, or any other artificial click inflation.
- No coupon/cashback sites unless agreed in writing.
- Disclose the affiliate relationship where required by your jurisdiction (FTC §255 for US partners).
7. Brand use
You may use the HoldThat name and logo to identify us in your content while you're an active partner. You may not modify the logo, use it in your own product/brand, or imply partnership beyond this program.
8. Confidentiality
Any non-public information we share with you (customer data, pricing exceptions, roadmap, etc.) is confidential and may only be used to make referrals under this Agreement.
9. Termination
- Either party may end this Agreement at any time, for any reason, with written notice (email is fine).
- On termination we'll pay any payout-eligible commissions on the next normal payout cycle.
- Commissions earned on payments that have not yet cleared will be paid once those payments clear and the transactions are confirmed valid, unless terminated for cause (fraud, violation of Section 6, etc.).
10. Independent contractor
You are an independent contractor, not our employee, agent, partner (in the legal sense), or joint venturer. You have no authority to bind HoldThat to any obligation.
11. Changes
We may update these terms with 30 days' notice (via email to your partner contact). Continued promotion after the effective date constitutes acceptance.
12. Governing law
This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Miami-Dade County, Florida.
